General

This End User License Agreement (the “EULA”) constitutes a legally binding agreement between you (the “User” or “you”) and us (the “Company,” “we,” “our,” or “us”). This EULA sets out the terms that apply when you download, install, access, or use Relay Convert, a software solution that offers document-processing functionality, including the conversion of files uploaded by users into editable formats and other related services (the “Software”).

Acceptance of this EULA

Your download, installation, access to, or use of the Software confirms that you have reviewed and understood this EULA and agree to comply with its terms and all applicable laws and regulations.

If you disagree with any provision contained in this EULA, you must discontinue use of the Software immediately and uninstall or otherwise remove it from every device on which it has been installed or used.

We reserve the right to revise, amend, or otherwise update this EULA from time to time. Any revised terms will become effective once they are published. If you continue using the Software after an updated version has been published, such continued use will be considered your acceptance of the revised EULA. The latest version will be made available through our Website, available here. The date identified as “Last Updated” at the beginning of this EULA reflects the date on which the most recent changes were made.

We are committed to respecting your privacy. In connection with your access to and use of the Software, certain information concerning you and your interaction with the Software may be collected, retained, and used as described in greater detail in our Privacy Policy (the “Privacy Policy”). Any Personal Data will be processed in accordance with the Privacy Policy, including any updates made to that policy from time to time.

Software and Services

Relay Convert enables users to convert files from one supported format into another. You are solely responsible for confirming that you possess all rights and permissions required to use and submit any file that you upload for conversion.

The Software is intended exclusively for your personal and non-commercial use.

We do not retain, host, or store files submitted through the Software or the converted files generated by it. It is your responsibility to download and preserve any converted output that you wish to keep. The Company accepts no responsibility for lost files, lost data, or failure to save converted content.

Provided that you comply with this EULA, the Company gives you a limited, revocable, personal, non-exclusive, non-transferable, non-assignable, and non-sublicensable license to install and use the Software and associated services for the purposes described in this EULA and solely for non-commercial use.

By uploading a file, you grant us only the limited authorization necessary to process that file for the purpose of carrying out the conversion service you have requested.

The Company retains sole discretion over the functionality, configuration, pricing, tools, and other elements made available through the Software. We may at any time modify, fix, revise, update, upgrade, improve, enhance, substitute, remove, suspend, discontinue, or otherwise alter any feature or functionality, either temporarily or permanently, with or without prior notice and without liability to you.

Some Software functionality may depend on an active and uninterrupted internet connection. If your internet connection is unavailable, unstable, or interrupted, some or all features of the Software may become inaccessible or fail to function properly.

Except for the rights specifically granted to you under this EULA, all rights in and to the Software remain reserved by the Company and/or its licensors.

The Software is proprietary technology, and ownership and title remain with the Company and/or its licensors. This EULA applies to the Software as a whole, including its functions, features, components, modules, and services.

All intellectual property associated with the Software and its related materials—including trademarks, logos, visual designs, written materials, graphics, source code, and proprietary technologies—is owned by the Company or its licensors. No provision of this EULA grants or transfers to you any ownership rights in the Software or in any related intellectual property.

Third-Party Content and Services

The Software may contain, display, integrate with, or provide access to content, websites, links, or services supplied by third parties.

The Company neither owns nor controls such third-party resources and assumes no responsibility for their accuracy, availability, legality, reliability, or operation.

Your decision to access, use, or interact with any third-party content, website, or service is made at your own discretion and risk. Your use of those resources may also be governed by separate terms, policies, or conditions established by the applicable third party.

User Obligations and Responsibilities

By using the Software, you represent and warrant that you bear sole responsibility for all content that you upload, submit, or otherwise provide through the Software.

You further represent and warrant that you have obtained every right, permission, consent, and authorization necessary to submit such content and permit it to be processed through the Software. You also confirm that the content, its submission, and its processing through the Software do not infringe, misappropriate, or violate the rights of any third party and do not violate applicable law.

You additionally confirm that you are authorized to use the device from which you access the Software, that you have the legal capacity and eligibility necessary to enter into this EULA, and that no applicable law, regulation, court order, or other legally binding restriction prevents you from doing so.

You agree to use and access the Software only as permitted under this EULA and in accordance with any instructions that the Company may provide from time to time.

While using the Software, you may not:

  • duplicate, copy, reproduce, distribute, sublicense, sell, rent, lease, commercially exploit, or otherwise redistribute the Software or any portion of it;
  • alter, reverse engineer, decompile, disassemble, or otherwise attempt to discover or obtain the Software’s source code;
  • circumvent, disable, interfere with, or attempt to evade technical protections, security measures, access restrictions, or other safeguards;
  • use the Software as part of any deceptive, fraudulent, malicious, harmful, or abusive activity;
  • use the Software for purposes that are illegal, fraudulent, misleading, or harmful; or
  • use the Software in any manner that violates this EULA or applicable laws or regulations.

A violation of any of these restrictions may lead to the immediate suspension or termination of your right to access or use the Software and may also result in legal liability.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, agents, and representatives against any claims, liabilities, losses, damages, expenses, and costs, including reasonable attorneys’ and legal fees, that arise from or relate to:

  1. your access to or use of the Software;
  2. your failure to comply with or breach of this EULA; or
  3. your infringement or violation of any third-party right or any applicable law or regulation.

Disclaimer of Warranties and Limitation of Liability

The Software is made available to you on an “as is” and “as available” basis.

To the fullest extent permitted under applicable law, the Company disclaims all warranties of every kind, whether express, implied, statutory, or otherwise. This includes, without limitation, implied warranties of merchantability, suitability or fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we make no guarantee that the Software will operate continuously or without errors, that it will be free from harmful or malicious code, that it will function with every device, operating environment, or configuration, that it will be accessible at every time or location, or that it will satisfy your particular needs or expectations.

You acknowledge and accept all risks associated with downloading, installing, accessing, and using the Software.

To the maximum extent allowed by applicable law, the Company will not be responsible for indirect, incidental, special, consequential, or similar damages resulting from or connected with your use of the Software or your inability to access or use it.

Under all circumstances, the Company’s total cumulative liability to you will be limited to the lower of:

  1. USD $10; or
  2. the total amount you actually paid for the Software.

The Software is not designed or provided as a file-hosting, data-storage, backup, or archival solution. You therefore remain solely responsible for downloading, preserving, maintaining, and backing up your files and any output generated through the conversion process.

Force Majeure

The Company will not be responsible for delays, interruptions, or failures in the performance of its obligations where such delay or failure results from circumstances outside its reasonable control.

Such circumstances may include, without limitation, natural disasters, acts of God, governmental measures or actions, war, terrorism, labor conflicts, technical malfunctions, electricity or power failures, and disruptions or outages affecting telecommunications or internet services.

Software Updates and Modifications

At its discretion, the Company may release or implement patches, upgrades, enhancements, updates, or other modifications to the Software for purposes that may include improving its functionality, performance, security, or monetization.

Your continued use of the Software constitutes your consent to receiving and applying such updates or modifications.

The Company assumes no responsibility for temporary service interruptions, device or software compatibility problems, or other effects that may occur as a consequence of an update or modification.

Termination

This EULA will continue to apply until it is terminated in accordance with its terms.

You may terminate this EULA whenever you choose by uninstalling the Software and permanently discontinuing its use.

You may remove the Software using the ordinary application-removal or uninstall functionality provided by your device or operating system. In most cases, the Software can be removed through the operating system’s application or program management interface.

Typically, this can be done as follows:

  1. Open the Control Panel or system settings on your device.
  2. Open the area used to manage installed applications or programs, such as “Programs” or “Programs and Features.”
  3. Find the Software among the installed applications.
  4. Select the Software and use the available uninstall or removal option.

The Company may immediately restrict, suspend, or terminate your access to or use of the Software, with or without prior notice, if you violate this EULA or if the Company determines that your continued use may pose a risk to the Company or to another party.

Following termination, every license, permission, and other right granted to you under this EULA will immediately end, and you must stop using the Software.

The Company will have no liability to you or any third party arising from a suspension or termination carried out pursuant to this Section.

Any terms that, because of their nature or purpose, are intended to remain effective following termination will continue to apply after termination.

Miscellaneous

If any term or provision of this EULA is determined to be unlawful, invalid, or unenforceable, that determination will not affect the validity or enforceability of the remaining provisions, which will continue in full force and effect.

If the Company does not exercise or enforce a right or provision under this EULA, such failure will not be considered a waiver of that right or provision or prevent its later enforcement.

You may not assign, delegate, or transfer your rights or obligations under this EULA without obtaining the Company’s prior written approval.

The Company may freely assign or transfer this EULA, whether in whole or in part, without restriction.

Governing Law and Dispute Resolution
